Welcome to Evituum ("Evituum", "Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our websites, applications, software platforms, educational management systems, analytics solutions, APIs, and related services (collectively, the "Services").
By accessing, registering for, or using any part of the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
2. Eligibility
You must have the legal authority and capacity to enter into binding agreements in your jurisdiction.
If you are using the Services on behalf of a school, university, business, government agency, or organization, you represent that you have authority to bind that entity to these Terms.
3. Account Registration
Access to certain Services requires creation of an account.

4. Services Provided
Evituum provides software solutions including but not limited to:
- School Management Systems (SMS).
- Learning Management Systems (LMS).
- Student Information Systems (SIS).
- Academic Analytics Platforms.
- Assessment and Examination Tools.
- Administrative and Financial Management Tools.
- Research and Reporting Solutions.
We reserve the right to modify, improve, suspend, or discontinue features at any time.
5. Acceptable Use Policy
You agree not to:
- Violate applicable laws or regulations.
- Attempt unauthorized access to systems.
- Interfere with platform security.
- Upload malicious software or code.
- Distribute spam or fraudulent content.
- Reverse engineer the Services.
- Use automated scraping tools without authorization.
- Infringe intellectual property rights.
- Impersonate another person or entity.
6. Educational Institutions and Data Responsibilities
Educational institutions remain responsible for ensuring the legality, accuracy, and validity of information entered into the platform.
Institutions are responsible for obtaining required consents from students, parents, guardians, employees, and other users where applicable.
7. Subscription Plans and Billing
Certain Services are offered through paid subscriptions.
- Fees are payable in advance.
- Subscription fees are non-refundable unless required by law.
- Plans may be upgraded or downgraded subject to availability.
- Failure to pay may result in suspension of Services.
- Applicable taxes may be charged separately.
8. Trial Services
We may offer free trials, beta programs, promotional plans, demonstrations, or evaluation environments.
Such offerings are provided "AS IS" and may be modified or discontinued without notice.
9. Intellectual Property
All rights, title, and interest in the Services, software, trademarks, logos, designs, documentation, source code, databases, and related content remain the exclusive property of Evituum or its licensors.
No ownership rights are transferred through use of the Services.
10. Customer Data Ownership
Customers retain ownership of data they submit to the Services.
By using the Services, you grant Evituum a limited license to host, process, store, back up, transmit, and display such data solely for the purpose of providing the Services.
11. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted operation.
Maintenance, upgrades, outages, security incidents, force majeure events, and third-party failures may affect availability.
12. Third-Party Services
Certain features may integrate with third-party providers including payment gateways, cloud hosting services, communication providers, and analytics services.
We are not responsible for third-party products or services.
13. Suspension and Termination
We may suspend or terminate accounts that:
- Violate these Terms.
- Create security risks.
- Engage in unlawful activity.
- Fail to pay applicable fees.
- Abuse or misuse the platform.
Termination does not relieve obligations accrued prior to termination.
14. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVITUUM DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVITUUM SHALL NOT BE LIABLE FOR:
- Indirect damages.
- Consequential damages.
- Lost profits.
- Lost data.
- Business interruption.
- Loss of goodwill.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
16. Indemnification
You agree to defend, indemnify, and hold harmless Evituum, its directors, employees, contractors, affiliates, and partners from claims, liabilities, damages, costs, and expenses arising from your use of the Services or violation of these Terms.
17. Force Majeure
We shall not be liable for delays or failures caused by events beyond our reasonable control including natural disasters, internet failures, cyberattacks, government actions, labor disputes, or power outages.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria without regard to conflict of law principles.
19. Dispute Resolution
The parties shall first attempt to resolve disputes through good-faith negotiations.
If resolution cannot be achieved, disputes shall be submitted to the competent courts of Nigeria.
20. Changes to These Terms
We may revise these Terms from time to time.
Updated versions become effective upon publication unless otherwise stated.
